Terms of Usage & Membership Agreement

By registering an account with ProfitPalsPro.com™ (hereafter "the Platform"), operating under private contract as a Private Membership Association (PMA), you (the "Member") explicitly acknowledge and agree to the following legally binding terms, conditions, and operational logic. If you do not agree to all terms in their entirety, you are unauthorized to proceed with registration or utilize our proprietary tools.

1. Nature of Service, Product Suite & Digital Licensing

ProfitPalsPro™ is a specialized digital architecture providing advanced direct-response marketing education, software utilities, and turn-key lead generation infrastructure. You are strictly purchasing a Digital Product License & Membership Access. Membership registration does not constitute an investment product, security, equity, or financial placement. You are purchasing functional software tools, operational manuscripts, and resale licensing rights across our three distinct product tiers:

• Tier 1 ($5K Formula Bundle - $50 Product + $19 Admin Fee): Grants instant digital licensing access to The CEO Wealth Formula manuscript, audio training libraries, and fundamental marketing blueprints.
• Tier 2 (Leads System Pro - $100 Product + $37 Admin Fee): Grants licensing access to the multi-theme capture page builder, 10-message automated follow-up engine, tracking analytics, and the standalone Media Pilot desktop/mobile push-notification software. (Includes all Tier 1 assets).
• Tier 3 (Elite Masterclass - $200 Product + $67 Admin Fee): Grants full licensing access to high-ticket closing masterclasses, DM/Text objection-handling blueprints, and private mastermind community tools. (Includes Royal Override access to Tiers 1 & 2).

2. Broadcaster Utilities & Compliance Regulations

The Platform provides integrated promotional infrastructure, including the Media Pilot Broadcaster and the Autoreply Text Broadcaster. As a condition of utilizing these communication modules, the Member agrees to the following compliance regulations:

• Automated Messaging Consent: You are strictly prohibited from utilizing the Autoreply Text Broadcaster or routing tools to transmit unsolicited communications (Spam). Any text keyword or message sequence deployed must target users who have explicitly initiated a request or connection via a telephone or web link gateway.
• Regulatory Indemnification: You assume 100% independent legal responsibility for ensuring your marketing campaigns comply with local, state, and federal telecommunication laws, including the Telephone Consumer Protection Act (TCPA) and mobile carrier routing guidelines. The Platform does not control or filter the precise data variables or phone lists utilized within your external marketing configurations.

3. Centralized Reverse 1-Up Qualification Logic

The Member acknowledges, understands, and consents to the automated operational parameters of the Reverse 1-Up Compensation Structure:

• Sale #1 (The Keep): You retain 100% of the product compensation value on your first successful sale, providing an immediate pathway to system configuration recovery.
• Sale #2 (The Qualifier): Your second transaction at any tier is automatically routed and passed up to your direct qualifying sponsor. Completion of this pass-up qualifies your license pipeline to receive unlimited passive pass-up commissions from your downstream organization for life.
• Subsequent Transactions: From Sale #3 onward, you retain 100% of all direct payment cycles at your active tier level.
• Tier Restrictions & Code Roll-Ups: To collect revenue at any specific product package level (Tier 1, Tier 2, or Tier 3), you must own that Tier yourself. If a downline tracking member initiates an upgrade beyond your active account ownership status, the tracking logic bypasses your account and automatically executes a Roll-Up to the next qualified sponsor holding the correct tier status.
• Peer-to-Peer Fund Clearance: All product transaction streams are processed directly Member-to-Member. ProfitPalsPro™ Admin functions strictly as a tracking script supervisor and software host and never holds, touches, or acts as an intermediary processor for your personal sales loops.

Anti-Fraud & Chargeback Protection: Any fraudulent financial dispute or chargeback initiated against a Member or Platform Administration via an external financial processor (including but not limited to CashApp, Venmo, Zelle, Stripe, PayPal, or credit card issuers) will trigger an immediate, permanent software profile ban and place the offending member's details on our global anti-fraud blacklist.

5. Income & Performance Disclaimers

Any statistical data or income illustrations displayed on our sales templates are strictly for mathematical demonstration purposes. ProfitPalsPro™ does not guarantee financial success, income stability, or specific sales volume. Your performance variables depend entirely on your execution, marketing expenditure, work ethic, and systemic consistency. You operate entirely as an Independent Contractor and assume full responsibility for your local income tax filing obligations and independent business compliance rules.

6. Marketing Integrity & Termination Clauses

The Platform maintains a zero-tolerance policy for unethical promotion. You are prohibited from deploying deceptive "blind ads," embedding system tracking strings into hidden malware loops, or engaging in behavioral harassment. Violation of system integrity standards will result in immediate termination of account access without warning or tracking recovery.

7. Indemnification & Limit of Liability

ProfitPalsPro.com™ and its architectural developers are held entirely harmless against any financial loss, operational damages, or carrier-level penalties. We assume no liability for third-party merchant processor account closures, external database outages, or personal disputes arising between individual membership accounts.
